Reseller terms

1. Parties and scope
These terms govern the reseller programme of MintFolder AI UG (haftungsbeschränkt), Sudetenstraße 18, 35039 Marburg, Germany, Amtsgericht Marburg HRB 8986 ("we"), for the resale of KinoPlayer activations. They apply to every reseller account, every purchase of credits and every activation made from the reseller panel. They exist in English, German and Arabic; if the versions differ, the German version prevails.
The programme is open to businesses only (Unternehmer, § 14 BGB). By registering you confirm that you act in the exercise of your trade or profession. Consumer protection rules, in particular the right of withdrawal, do not apply between you and us.
2. The account
An account is opened when we approve your registration, which we may refuse without giving reasons. You keep your login and password secret, tell us at once if they are compromised and answer for everything done with them until you do. One account per business; the account is not transferable. Your name, e-mail address, billing address and VAT id must be correct and kept up to date; the invoices are made out to what you entered.
3. Credits
You buy credits in packs at the prices on the price list. One credit activates one device for one year; a longer term costs one credit per year. Credits are prepaid, do not expire while the account exists, cannot be transferred to another account and cannot be exchanged for money except as set out in section 9. An activation may be taken back once per device within seventy-two hours of making it, from the panel, and the credits return to your balance; after that it stands.
We grant the activation to the device you name. You are responsible for naming the right device: an activation granted to a device identifier you typed wrongly is your risk once the seventy-two hours have passed.
4. Prices, tax and payment
Pack prices are shown in euro. For a reseller established in Germany, or in another EU member state without a VAT identification number, the price includes German VAT at 19 %. For a reseller established in another EU member state with a valid VAT identification number, the same euro amount is the net price and the reverse-charge procedure applies (§ 13b UStG); you account for VAT in your country. For a reseller established outside the EU the amount is net and no German VAT is charged. The invoice states which case applies; it is generated in the panel for every paid pack once your billing address is complete.
Payment is made in USDT on the Polygon (PoS) network at the fixed USDT amount shown next to the euro price, to the address and in the exact amount shown for the order, within thirty minutes. Blockchain transfers cannot be reversed; funds sent on any other network, in any other token or to any other address are lost. An underpaid order is not credited until it is settled with us; a surplus is returned on request. Prices may change; an order keeps the price it was placed at.
5. Your customers are yours
You sell activations to your customers in your own name and on your own account. You set your prices, you are their contracting party, you issue their receipts and you fulfil your own legal duties towards them, including the information duties and the right of withdrawal that consumer law gives your customers, and the imprint duty on any website or channel you sell through. We have no contract with your customers about the purchase; our terms of use govern their use of the software.
You must tell every customer, clearly and before the sale, what our terms of use say: that KinoPlayer is a media player that includes no channels, no playlists and no content of any kind, and that the customer must supply their own lawful sources. You may not sell an activation together with, or as part of, access to content, playlists or subscriptions of any kind, and you may not present KinoPlayer as a television or streaming service. A reseller who does so loses the account under section 9 and is liable for the damage caused.
6. Name and logo
You may use the KinoPlayer name and logo, unaltered, to say truthfully that you sell KinoPlayer activations. You may not register a domain, social-media handle, company name or trademark containing "KinoPlayer" or "MintFolder", may not present yourself as us or as our official representative, and may not make promises on our behalf. Advertising that names KinoPlayer must not claim or imply that it provides content.
7. Data protection
You and we are independent controllers. You process your customers' data under your own responsibility and your own privacy notice; we see only the device identifiers you activate, the notes you choose to write in the panel and your own account data, as described in our privacy policy. Write nothing into a device note that your customer has not agreed to, and nothing that is not needed to run your business.
8. Availability, changes, liability
The panel and the service are provided as they are. We do not promise uninterrupted operation and may change features for good reason with thirty days' notice; where a change makes credits unusable for their purpose, section 9 applies.
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and for a guarantee we have given. For slight negligence we are liable only for the breach of an essential contractual duty and only for the foreseeable damage typical for this contract, capped at the amount you paid us in the twelve months before the event. Any further liability, including for lost profit, is excluded. We are not liable for content your customers access, for their providers or for the lawfulness of your own sales.
You indemnify us against claims of third parties, including your customers and rights holders, that arise from a breach of sections 5 or 6 by you.
9. Term and termination
The agreement runs for an indefinite period. Either party may terminate it with thirty days' notice by e-mail. We may terminate it without notice for cause, in particular for a breach of sections 5 or 6, for a chargeback-like dispute of a payment or for sustained abuse.
After an ordinary termination your remaining credits stay usable for activations for twelve months and are not paid out. If we terminate without cause, or discontinue the programme, we refund unused credits at the average price you paid for them. If we terminate for cause, unused credits are refunded at that price less the damage the breach caused us.
10. Changes to these terms
We may change these terms for good reason with thirty days' notice by e-mail to your account address and in the panel. If you do not object before the change takes effect, it applies; if you object, the agreement ends with the change and section 9 applies to your credits.
11. Law, jurisdiction, final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes is Marburg. If a provision is unenforceable, the rest remains in force and the statutory rules apply in its place. Contact: support@kinoplayer.app.
